General Terms and Conditions for use

Welcome to jaimy! By using this platform, as well as the tools available on the platform or related to it, you are stating your agreement with the Terms and Conditions that follow, including terms and conditions available by hypertext link or on the jaimy website. The term 'Terms and Conditions' covers the present general terms and conditions for use, as well as the general terms and conditions for "Service Provider" and the general terms and conditions for "service requester".

You can also find the General Terms and Conditions for requesters, which are applicable to any person placing a request for service on this website.

Finally, the General Terms and Conditions for Service Providers apply to any person registered as a Service Provider on jaimy who is able to offer services in so doing and hence respond to the requests placed on the platform.

These General Terms and Conditions apply to the use of jaimy.be. jaimy reserves the right, at any time and without notice, to add, modify, update or delete information.

1. Definitions

1.1. For the application of these Terms and Conditions, the terms below have the following meanings (references in the singular also imply references in the plural):

  • jaimy: the portal accessible via www.jaimy.be.
  • Assignment: a description of tasks or service provided by a Service Provider on request in return for payment, via jaimy, from a service requester.
  • Service Requester: a User registered on jaimy.be or any validly registered natural person or legal entity who/which requests an Assignment via jaimy. In the context of carrying out an Assignment, the User is considered as the contractual partner of the Service Provider.
  • Price Proposal: an indication of the price charged, without commitment, to carry out work or provide a service, as detailed in the Assignment.
  • User: any visitor to jaimy (whether registered or not, can be a natural person or legal entity.
  • Service Provider: a natural person or legal entity acting in the context of his/her/its professional activities and who/which is validly registered on jaimy in order to draw up Price Proposals for carrying out an Assignment. In the context of carrying out an Assignment, the Service Provider is considered as the contractual partner of the Service Requester.
  • Action: act or action carried out by a Service Provider in the context of using jaimy, such as responding to Assignments, making Price Proposals.
  • Code of Good Conduct: the code detailed below in article 5.

3. Use and functions of jaimy

3.1. jaimy may be used by any User to:

  • receive the prices proposed by the Service Provider, as well as summarised details of Assignments;
  • view any assessments of Service Providers written by Service Requesters after a piece of work or service described in an Assignment has been carried out/provided
  • make use of the contact details of Service Providers
  • view Assignments in detail;
  • assess a Service Provider after a piece of work or service described in an Assignment has been carried out/provided.

3.2. The assessment stated in this article may contain a brief description of the work carried out by Service Providers. Both Service Providers and Service Requesters specifically accept that this assessment will be visible for all Users and that certain identity details that they may have provided when registering will be published in the context of this assessment (such as (1) (a) the surname and first letter of the first name of the Service Requester, and (1) (a) the surname and first letter of the first name of the Service Provider, or (b) the company name and trading name, and (2) the address of the registered office, as well as any commercial location of the Service Provider).

3.3. jaimy may be used by the Service Provider to:

  • view Assignments in detail;
  • introduce itself to a Service Requester by submitting a Price Proposal to carry out a piece of work or provide a service detailed in a specific Assignment;

3.4. Service Requesters may post assessments on jaimy.

3.5. jaimy is unable to guarantee the uninterrupted availability of the jaimy portal, but will do everything it can to prevent unscheduled stoppages to the system. However, interruptions to availability on account of server maintenance, updates, breakdowns in the communication networks or for other reasons are unavoidable.

3.6. jaimy reserves the right to modify, amend or update all information that it publishes on the jaimy website/portal.



4. Limits of Liability

4.1. Service Requesters and Service Providers may contact each other on jaimy and examine the terms and conditions of the respective Assignments they wish to agree on in order to carry out a piece of work or provide a service. jaimy only undertakes obligations of means as to resources as the party hosting the site. The User, Service Provider and Service Requester accept that accessing and using the jaimy website and the pages linked to it are at their own risk. The information provided on this website and in the pages may not be taken as being advice of any kind, excluding in particular any investment advice or advice regarding fiscal or legal matters. jaimy may not be held liable for the content or Actions nor lack of Action of Service Providers or Users, nor for the services that they may propose. The Service Requester and the Service Providers acknowledge that jaimy is not a temporary employment agency or a placement agency that charges for its services, nor is it any other type of specific company relating to employment.

4.2. jaimy plays no part whatsoever in the agreement or transaction entered into between the Service Provider and the Service Requester, nor in the communication between Service Requesters and Service Providers. jaimy does not in any way intervene in any contractual relationship that may come into being between the Service Provider and the Service Requester. Any contractual relationship is formed exclusively between these two latter parties. If these two parties (Service Requester and Service Provider) enter into a contract together, they will be solely responsible for retaining the details of their correspondence and their contract. In this regard, it is hereby stated that jaimy internal e-mail system is in no way suited to preserving this correspondence for which jaimy declines to accept any liability.

4.3. As part of jaimy's operations, jaimy never acts as a guarantor, backer, representative, agent, principal, proxy holder, client, associate or employer for a Service Provider or Service Requester.

4.4. If a Service Provider and Service Requester together enter into a contract, they undertake to safeguard jaimy from any legal action that a Service Requester or Service Provider make take against jaimy as the result of a dispute associated with the formation, interpretation or execution of the contract signed between the Service Requester and the Service Provider. In the event of a dispute involving one or more Users, Service Requesters and Service Providers, these parties will discharge jaimy from any complaints, claims and damage (direct or indirect) of any kind whatsoever, known and unknown, predictable and unpredictable, disclosed or not, arising in the context of or associated with such a dispute of any kind.

4.5. The information that may be viewed about jaimy and relative to the Service Provider is made available purely on behalf of and at the own risk of the Service Provider and the Service Requester publishing that information. Indeed, jaimy may not and does not guarantee the identity claimed by each of the Service Requesters or Service Providers. jaimy does not check on the Contact details provided by the Service Requesters or Service Providers and jaimy cannot in any way be held liable for those details.

jaimy and its associates working with it (including employees staff members and member of the board of directors) accept no liability regarding the content of jaimy or the accuracy of information on jaimy, i.e. (1) the content of Assignments, and (2) the information exchanged on jaimy's internal e-mail system. In the same way, jaimy and the parties working with it (including members of staff and directors) accept no liability regarding (1) (a) the quality or solvency of Service Requesters or Service Providers, (b) the legitimacy or safety of the works or services detailed in the Assignments, (c) the quality, completeness or method used to carry out the works or provide the services undertaken by Service Providers, (d) the timely and/or full payment of Service Providers by Service Requesters; or, for (2), the suitability of jaimy's internal e-mail system to handle all communication intended to draw up contracts or demonstrate the existence thereof.

4.6. jaimy in no way guarantees that Service Providers will comply with legal requirements (including the requirements of incorporation and the requirements regarding the exercise of or access to regulated professions). The headings under which Service Providers are mentioned do not provide guarantee or indication of the fact that the Service Providers in question hold the certifications and/or permits to carry out the works or provide the services stated under that heading. All information relating to Service Providers supplied to Users, Service Requesters (such as, but not limited to: information from the Crossroads Bank for Enterprises, Business Service Counters, Belgian State Gazette, etc.) is purely for information purposes. jaimy displays information from third parties only. Service Requesters must themselves find out about the Service Providers in question.

4.7. jaimy and the associates working with it (including employees staff members and member of the board of directors) cannot be held liable for any damage that may arise from an inaccuracy in the information, files, links or websites that can be accessed or received on jaimy. jaimy advises Users to install an antivirus program as well as a firewall.

4.8. In certain of its sections, jaimy features hyperlinks to content issued by third parties or to websites operated by third parties. jaimy is not responsible for the quality or accuracy of this content, nor for these websites. Nor may jaimy be considered as approving, publishing or authorising these websites or this content. As a consequence, the operators of these sites are solely responsible for complying with the legislation and regulations that apply to the products and services that they offer on their website.

4.9. jaimy reserves the right to use servers anywhere in the world, or to save data anywhere in the world. If jaimy uses a company located outside the European Economic Area to process User data, jaimy will ensure that this company provides the same guarantees in terms of the level of protecting personal data as those provided in Europe. jaimy is not obliged to actively notify Users, Service Providers or Service Requesters of changes in this area; said parties are deemed to consult the jaimy website regularly to obtain information in this regard.

4.10. With regard to any third-party intellectual property rights, we refer you to the provisions stated below in the matter.

4.11. jaimy reserves the right to delete the profiles of Service Providers should these Service Providers not comply with these Terms and Conditions, not comply with the regulations and as such expose jaimy to a claim, including reputational damage. No compensation will be owed by jaimy in the event of profiles or User Accounts being deleted. If a User Account is deleted, jaimy will indicate the reason, albeit without invoking its liability or any compensation being owed.

4.12. In any event, should jaimy's liability be invoked, despite everything, compensation may not under any circumstances exceed an amount of 150 EUR, nor may it under any circumstances cover indirect damage of any kind (loss of opportunity to obtain a bonus, etc.).

5. Target audience and Code of Good Conduct

5.1. The User is only authorised to use jaimy if she/she is a competent adult and if he/she has not been excluded (temporarily or permanently) by on grounds of abusive or illegal use.

5.2. The User (either the Service Requester, or the Service Provider, or the visitor) undertakes, while using jaimy, to:

  • provide only information that is correct, complete and up to date, as well as to correct immediately any information provided if it is no longer correct, complete and up to date;
  • not to place content, items or files under headings that no longer apply;
  • not infringe any statutory or regulatory provision, nor to breach the rights of third parties (including intellectual property rights such as copyright, trademarks and the rights of producers of databases), nor to infringe any contractual undertaking that the User may have vis-à-vis third parties;
  • not disseminate information that is misleading, inaccurate, injurious, outrageous, illegal, indecent, of a pornographic nature, erotic, sexual or hook-up information; nor any information that is contrary to Public Order or decency;
  • always remain courteous and polite when using the internal e-mail system, Forums and/or when assessing a Service Provider;
  • not use jaimy in an abusive manner, in particular by manipulating Price Proposals or their publication, or by altering the assessment and feedback system by submitting an assessment or feedback about a Service Provider with which/whom not contract has been entered into;
  • not use jaimy in any way to harm the reputation or interests of jaimy;
  • not place content, item, harmful or annoying files (e.g. a virus) or links to other harmful websites while communicating about an Assignment, on a forum relating to an Assignment or through the e-mail system;
  • respect jaimy's intellectual property rights (for example copyright, trademarks and the rights of producers of databases) and not to copy, modify, distribute and/or pass on to the public any information about jaimy's intellectual property rights;
  • not undertake acts of hacking against jaimy's system or server(s).
  • acknowledge expressly that jaimy has received explicit consent from Users to be able to use the information supplied to jaimy to carry out its business.



6. Intellectual property

6.1. The structure and content (including the design, copy, layout, logos, icons, data, files, source codes, object codes) of the jaimy website and its pages are protected by intellectual property rights (such as copyright, trademarks and the rights of producers of databases) held by jaimy and authorised third parties. None of these rights may be transferred to any other party - not the User of this website, not the Service Provider and not the Service Requester.

6.2. The User is only authorised to use the structure and content of the jaimy site in the context of his/her/its visit to the jaimy portal. It is also expressly agreed that no provision of these terms and conditions may be interpreted as a licence granted by jaimy to the User or anyone else, nor as an assignment of any intellectual property right to the User or anyone else. All forms of reproduction, adaptation, translation communication to the public of works protected by copyright and published on jaimy is forbidden. Any extraction and/or reuse of all or a substantial part of the content of jaimy is forbidden; the same applies for an extraction and/or repeated and systematic reuse of unsubstantial parts of the content of jaimy, which is not compatible with normal usage of the portal (meetings with Service Requesters and Service Providers in the context of a specific Assignment) and/or which harms the legitimate interests of jaimy, including any purely commercial or competitive disadvantage.

6.3. jaimy declines all liability regarding violations of third-party intellectual property rights, violations which may arise from the publication or communication of information on jaimy by a User, Service Provider or Service Requester.


jaimy: General terms and conditions for 'Service Requesters'

Article 1. Definitions

For the application of these Terms and Conditions for 'Service Requesters' and unless the context requires a different interpretation, the terms below have the following meanings:

* Assignment Notice(s): any Assignment request detailing the tasks of a service requested and published by a Service Requester on the jaimy website;

* Assessment(s): any review posted by a Service Requester on the jaimy site to comment on the quality of the work of one or more Service Providers;

* Skill: the ability of a Service Provider in one of the categories of tasks proposed (plumbing, electricity, bricklaying, roofer, etc.).

* Account: the User account (Service Requester or Service Provider) providing the contact details of the User that will be used to communicate on the jaimy website.

* Service Requester Relationship: the relationship entered into between the Service Requester and jaimy and which includes these general terms and conditions, the webpages on the Site, the terms and conditions for using the jaimy site (legal disclaimers, rules about cookies and privacy regulations).

* Service Requester: a User registered on jaimy or any natural person or legal entity validly registered on jaimy who/which posts Assignment Notices (i.e. requests an Assignment) via jaimy. In the context of carrying out an Assignment, the Service Requester is considered as the contractual partner of the Service Provider.

* jaimy: the portal/website web identified in more detail in article 2 of the General Terms and Conditions for 'Service Providers' providing jaimy's services.

* Service Provider: any natural person or legal entity acting in the context of his/her/its professional activities and who/which is validly registered on jaimy, carrying out Assignments for the benefit of a Service Requester in return for payment. In the context of carrying out an Assignment, the Service Provider is considered as the contractual partner of the Service Requester.

* jaimy's Service(s): service(s) offered by jaimy on the Site and described in more detail in these General Terms and Conditions and on the Site.

* Site: the website operated by jaimy and accessible at this address: http://www.jaimy.

* Assignment: services/tasks requested by a Service Requester taking the form of a Notice and including a description of the tasks or services requested by the Requester via jaimy.

* Transaction(s): the exchanges and relationship entered into between the Service Requester and the Service Provider as a result of their being placed in contact via the jaimy website when they have agreed on an Assignment to be carried out.

Article 2. Identification of the parties and subject of these general terms and conditions

In the context of using the Site and Services, these General Terms and Conditions for 'Service Requesters' govern relations between:

- jaimy RT 25/01, Karel Rogierplein 11, 1210 Brussel, referred to hereinafter as "jaimy"; and

- the person identified in greater detail in the registration form, referred to hereinafter as the "Service Requester".

Article 3. The Service Requester relationship

Any registration on the jaimy site and any use of jaimy services implies the agreement of the Service Requester with these General Terms and Conditions and with all documents that form part of the Service Requester Relationship, which may be examined either by clicking on the links shown at the bottom of each page on the site, or during the registration process on the site.

These General Terms and Conditions are available at all times on the site. The Service Requester is required to read them carefully, print them off and/or download them and hence retain a copy of them.

These General Terms and Conditions may be modified or updated at any time by jaimy.

By registering on the jaimy site and using jaimy's Services, the Service Requester guarantees that the contact details he/she/it has provided are accurate and further undertakes to notify jaimy immediately of any change in the contact details.

By using jaimy's Services, the Service Requester undertakes to respect the confidential nature of certain information (in particular the password, information relative to payment methods, etc.). The Service Requester is solely responsible for his/her/its confidential information and may not disclose it to any other person.

Without excluding other avenues of recourse in the event of a failing, jaimy reserves the right to limit, suspend or terminate, temporarily or permanently, the services provided by jaimy and from the User Accounts; forbid access to the Site; delay the publication of hosted content or delete it; and to take technical and legal measures to prevent Users from accessing the Site.

Article 4. jaimy's Services

jaimy's Services, offered on the Site, consist of making available a virtual platform for exchanging service requests (Assignment requests) and offers of service (Assignment offer and price made by the Service Provider), as well as to enable the posting of Assignment Notices and facilitating contacts between Service Requesters and the platform's Service Providers.

jaimy will in no way intervene in or exercise control over the quality of the Assignment Notices, the quality of Users and/or the way a Transaction is conducted. jaimy cannot in any way be considered as a party to a Transaction entered into between the Service Provider and Service Requester, nor may it be bound in any way by the undertakings made in the context of this agreement. All jaimy does is host Notices. jaimy does not exercise any control over the following elements:

1. the identity, quality, intellectual or technical skill, solvency or legal status of Users, nor the accuracy of the information provided by Users;

2. the nature and legality of the work carried out;

3. the negotiation, content or conclusion of an Assignment and its execution;

The Service Requester must show moderation, accuracy and truthfulness when posting assessments on the website with regard to the quality of the work carried out by the Service Provider. jaimy has no control over these Assessments and assumes no liability with regard to them.

However, jaimy reserves the right to carry out such checks at its own discretion and reserves the right to refuse the publication of Assessments should they be contrary to good morals, insulting, defamatory or slanderous.

Article 5. No illegal use

The Service Requester offers a guarantee that he/she/it will not use jaimy's Services to commit illegal or forbidden acts through the Service Requester Relationship and/or acts that are not permitted by law. Any abuse or fraudulent use of jaimy's services and/or site is forbidden.

Article 6. Transaction

Service Requesters are bound directly to Service Providers. Under no circumstances will jaimy take part in the contractual relationship that comes into being between Users following the conclusion of the Transaction established based on the terms agreed between them. jaimy merely facilitates the relationship by providing a medium for the Transaction to be put in place. Users are solely responsible for the fulfilment of their respective obligations arising from or relative to their Transaction.

The amount charged for the Assignment/Task must be paid directly to the Service Provider.

Article 7. Costs

7.1 In principle, the use of jaimy is free of charge for the Service Requester. No additional charge will be made in addition to the cost of the Assignment/Task

Article 8. Specific obligations of the Service Requester

The Service Requester is required in particular:

> Not to publish inappropriate content (Assignment Notices/Assessments) on the jaimy website;

> Not to use the jaimy site and its related services if he/she/it is not legally capable of entering into contracts, if he/she is under the age of 18 or if his/her/its Account has been suspended temporarily or for an indefinite period.

> To pay for the services, depending on the Transaction;

> To respect the terms of the Transaction;

> Not to publish content that is false, erroneous, misleading or defamatory;

> Not to undertake any action that may harm the Assessments and assessment systems;

> Not to transfer your jaimy Account (including assessments) and your alias to a third party without our consent;

> To take security measures to protect the password: Not to use jaimy with the alias or password of another person, or authorise another person (directly or indirectly) to use your alias or password;

> Not to distribute or publish unsolicited advertising (spam), chains of e-mails or pyramid systems;

> Not to spread viruses or other technologies likely to harm jaimy or Users of the site;

> Not to collect in any way information about Users, including e-mail addresses, without their consent;

> Not to meddle in the Transactions of other Users;

> Not to contact a Service Provider to offer him/her/it an Assignment without using jaimy when the Assignment has already been posted on the jaimy site.

> To ensure that the Service Provide respects his/her/its obligations with regard to the 1976 Fraudulent Work Act (for certain types of Tasks). jaimy reserves the right to exclude a Service Requester or User if he/she/it does not respect his/her/its obligations. This means that a Service Requester or User may be deleted if jaimy is informed that a User is not complying with the social, fiscal or economic obligations relative to his/her/its status;

The Service Requester undertakes that the service requested from the Service Provider does not constitute a breach of the contractual, regulatory or legal provisions, including but not restricted to, the laws dealing with forgery, racism, proper morals, copyright, etc. and does not breach the rights of third parties (in any way). In particular, the Service Requester must ensure that the information contained in the Assignment Notice or Assessments does not infringe the privacy, honour or reputation of anyone else.

The Service Requester will safeguard jaimy against all claims from third parties arising from non-compliance with their rights. In particular, the Service Requester will bear the cost of:

> all damage and interest owed to third parties making a claim;

> all expenses associated with the immediate replacement of jaimy equipment that may be the subject of seizure or any other measure rendering the equipment permanently or temporarily unusable for jaimy;

> all commercial and other damage incurred by jaimy as the result of a claim made by a third party.

If the Service Requester becomes aware of an instance of misuse, problem, breach of contractual rules or inappropriate content, he/she/it is required to report it to [email protected] Without prejudice to the above, jaimy may, at its sole discretion, delete any Notice at any time.

Article 9. Nature of the working relationship

The Service Requester and the Service Provider will collaborate on an independent basis to which jaimy remains a third party. As a consequence, any link or subordination is expressly excluded between these two parties.

The Service Provider will provide services entirely independently. The Service Provider will not receive instructions from the Service Requester other than general indications justified by the need of collaboration between Users and the proper execution of the Tasks entrusted; the Service Provider undertakes to respect them.

Finally, there is no exclusivity between the Service Requester and the Service Provider. This means that the latter is at liberty to carry out other Assignments for other Service Requesters.

Article 10. Termination

The Service Requester may terminate his/her/its registration on the jaimy website at any time by unsubscribing on the Site or by contacting jaimy.

jaimy may, unconditionally and without notice, send a warning, suspend (temporarily or permanently) or terminate this Service Requester Relationship, and refuse to provide jaimy's Services to any Service Requester (a) who/which contravenes the provisions of this Service Requester Relationship, or (b) who/which jaimy believes, at its sole discretion, is acting in a way that may jeopardise the liability of this Service Requester, Users, third parties or jaimy.

Article 11. Liability

With regard to Service Requesters, jaimy only assumes obligations of means in its capacity as the party hosting the website.

jaimy may not be held liable either for the content of Assignment Requests or Comments (Feedback) given, or for the acts or omissions of other Users (other Service Providers, Service Requesters, visitors), or for the services that they provide. The Service Requester acknowledges that jaimy is not a temporary employment agency or a placement agency that charges for its services, nor is it any other type of specific company relating to employment.

jaimy makes every effort to ensure that the website is accessible every day, 24 hours a day, under the best conditions for user comfort and convenience. jaimy makes every effort to ensure maximum quality of services. However, in view of the risks inherent to the technology used, jaimy is unable to accept any liability in the event of inaccuracies or omissions in the content disseminated, in the event of the poor function or total or partial inaccessibility of services for any reason, except in the instances and conditions listed exhaustively below.

However, a technical problem, such as a virus, computer bug, malicious intrusion or malfunction of the website and/or software or databases that it contains cannot be totally excluded. Under no circumstances may jaimy be held liable for damage incurred by Service Requesters when they view all or part of the website or download all or part of its content, even in the case of serious misdemeanour on the part of jaimy.

Should it deem it necessary to ensure the quality of the services offered, jaimy will have the ability to interrupt access to the website to carry out maintenance. Users are aware of the need to provide regular maintenance of the website. As a result, under no circumstances may jaimy's liability be invoked for any damage that may result from an interruption to services due to maintenance of the website.

jaimy may not be held liable in the event of the non-selection or incorrect selection of a Service Provider relating to an Assignment Notice/Request made by a Service Requester.

jaimy carries out no checks whatsoever, nor does it select from the content and/or presentation of Assignment Notices/Requests placed by a Service Requester or the presentation of Assignment Offers made by a Service Provider. As a result, jaimy may not be held liable for any harm caused to the rights of a third party on account of the content or its presentation.

If the information and/or statements shown in an Assignment Notice/Request or featured in an Assignment Offer are contrary to the rights of a third party (including another Service Requester or Service Provider, etc.), the third party should submit any complaint directly to the Service Requester or Service Provider who/which is the author of the Notice and the Offer.

jaimy is not liable for the quality, legality and/or punctuality of the work provided by the Service Providers selected following a Notice/request posted on the website. jaimy cannot guarantee that the Service Requester or the Service Provider will complete the Transaction. The latter parties are solely responsible for the proper execution of the Transaction to which jaimy is a third party. As a consequence therefore jaimy can assume no liability regarding Transactions.

The jaimy website is solely an online place of exchange. The User is solely responsible for compliance with the laws and regulations in general and in particular for the social laws and regulations relating to employment and training. jaimy assumes no responsibility should the User be in breach of the laws and regulations mentioned above resulting from the use of jaimy's services and/or execution of the Transaction.

jaimy is unable to guarantee and does not guarantee the identity claimed by each Service Requester or Service Provider or any other User. jaimy does not check the Contact Details and assumes that the Contact Details supplied and updated are real and accurate.

In the event of a dispute with one or more other Users, the Users discharge jaimy from complaints, claims and damages (direct and indirect) of any kind, known and unknown, predictable and unpredictable, disclosed or not, arising in the context of or associated with such a dispute in any way whatsoever.

In any event, should jaimy's liability be invoked, despite everything, compensation may not under any circumstances exceed an amount of 150 EUR, nor may it under any circumstances cover indirect damage of any kind (loss of opportunity to obtain a bonus, etc.).

Article 12. Absence of waiver and partial invalidity

No document, draft, letter, e-mail or any other kind of document may be invoked to attempt to infer the existence of an undertaking that is different or in addition to those entered into pursuant to these terms and conditions.

No action, behaviour, tolerance or omission on the part of jaimy may be interpreted as a waiver, even partial, on its part of the strict and full execution of the provisions of these general terms and conditions, as well as the special terms and conditions that they supplement.

In the event of invalidity, unenforceability or the partial or total nullity of one of the clauses in these terms and conditions, the other provisions will be affected in no way and remain full in effect.

Article 13. Privacy and protection of personal data

jaimy complies with the legislation on privacy. For more detailed information, the Service Provider can examine the privacy statement in the General Terms and Conditions of use and the privacy Charter, which are available on the jaimy website.

By registering on this website, the Service Requester agrees to have his/her/its Contact Details passed on to Service Providers and for them to be included in the public directory on the site.

The Service Requester is forbidden to pass on to other persons (even those who are part of the same group of companies) any Contact Details relative to Service Providers that he/she/it may have obtained via the jaimy website services. These Contact Details may only be used by the Service Requester selected by the Service Provider.

Article 14. Intellectual property

All elements of the jaimy website, such as text, graphics, logos, icons, images, audiovisual clips and software, are the property of jaimy or its content suppliers and are protected by copyright. The compilation (i.e. collecting, arranging and assembling) of any element of this Site is the exclusive property of jaimy or its software providers and is protected by copyright. All software used on this Site is the property of jaimy or its software providers and is protected by copyright. The content and software on this Site may be used only in the context of using jaimy's Services. All other use, including reproduction, modification, transmission, re-publication, display or execution of the content of this site is strictly forbidden.

The relationship between jaimy and the Service Requester may not under any circumstances be considered as a partnership, joint-venture or any other association between the parties. No party will be considered as being the agent or employee of the other party.

Article 16. Assignment of rights and obligations

The Service Requester is forbidden to assign to a third party all or part of his/her/its rights and obligations resulting from his/her/its relationship with jaimy without the prior written consent of jaimy. jaimy is allowed, without prior written or verbal authorisation, to assign all or part of its rights and obligations resulting from this relationship to a third party.

The provisions of this relationship, subject to the restrictions of the right of assignment above, that are contained in it will benefit the parties and bind them, as well as the respective heirs, legal representatives, successors and assignees.

Article 17. Notifications

Unless expressly stipulated to the contrary, any notification sent to jaimy must be sent by electronic mail to [email protected] or by post to jaimy RT 25/01, Karel Rogierplein 11, 1210 Brussel

Any notification intended for the Service Requester will be sent principle by e-mail to the e-mail address that the Requester supplied to jaimy at the time of registration. Notifications may also be sent to the Service Requester by post to the addressed supplied at the time of registration.

Article 18. Applicable Law and jurisdiction

These Terms and Conditions and the relationship with the Service Requester are governed by and interpreted in accordance with Belgian law and will be submitted to the sole jurisdiction of the courts in Brussels, except if a compulsory (binding) law attributes this competence to another jurisdiction.

jaimy: General terms and conditions for 'Service Providers'

Article 1. Definitions

For the application of these Terms and Conditions for Service Providers and unless the context requires a different interpretation, the terms below have the following meanings:

* Assignment Notice(s): any Assignment request detailing the tasks of a service requested and published by a Service Requester on the jaimy website;

* Assessment(s): any review posted by a Service Requester on the jaimy site to comment on the quality of the work of one or more Service Providers;

* Skill: the ability of a Service Provider in one of the categories of tasks proposed (plumbing, electricity, bricklaying, roofer, etc.).

* Account: the User account (Service Requester or Service Provider) providing the contact details of the User that will be used to communicate on the jaimy website.

* Lead fee: Amount paid by the Service Provider to jaimy as follows: A Service Provider interested by the Assignment pays jaimy, as remuneration for its services, an amount based on the type and number of services to be provided. This amount varies according to the size of the Assignment. This amount is submitted to the Service Provider before procurement of the Transaction and when it is paid for by the Service Provider. The Service Provider is then assured of being one of the Service Providers proposed to the Service Requester. A maximum of three Providers are proposed to the Service Requester.

* Service Provider Relationship: the relationship entered into between the Service Provider and jaimy and which includes these general terms and conditions, the webpages on the Site, the terms and conditions for using the jaimy site (legal disclaimers, rules about cookies and privacy regulations).

* Service Requester: a User registered on jaimy or any natural person or legal entity validly registered on jaimy who/which posts Assignment Notices (i.e. requests an Assignment) via jaimy. In the context of carrying out an Assignment, the Service Requester is considered as the contractual partner of the Service Provider.

* jaimy: the portal/website web identified in more detail in article 2 of the General Terms and Conditions for 'Service Providers' providing jaimy's services.

* Service Provider: any natural person or legal entity acting in the context of his/her/its professional activities and who/which is validly registered on jaimy, carrying out Assignments for the benefit of a Service Requester in return for payment. In the context of carrying out an Assignment, the Service Provider is considered as the contractual partner of the Service Requester.

* jaimy's Service(s): service(s) offered by jaimy on the Site and described in more detail in these General Terms and Conditions and on the Site.

* Site: the website operated by jaimy and accessible at this address: http://www.jaimy.

* Assignment: services/tasks requested by a Service Requester taking the form of a Notice and including a description of the tasks or services requested by the Requester via jaimy.

* Transaction(s): the exchanges and relationship entered into between the Service Requester and the Service Provider as a result of their being placed in contact via the jaimy website when they have agreed on an Assignment to be carried out.

Article 2. Identification of the parties and subject of these general terms and conditions

In the context of using the Site and Services, these General Terms and Conditions govern relations between:

- the person identified in greater detail in the registration form, referred to hereinafter as the "Service Requester".

Article 3. The Service Provider Relationship

Any registration on the jaimy site and any use of jaimy services implies the agreement of the Service Provider with these General Terms and Conditions and with all documents that form part of the Service Provider Relationship, which may be examined either by clicking on the links shown at the bottom of each page on the site, or during the registration process on the site.

These General Terms and Conditions are available at all times on the site. The Service Provider is required to read them carefully, print them off and/or download them and hence retain a copy of them.

These General Terms and Conditions may be modified or updated at any time by jaimy.

By registering on the jaimy site and using jaimy's Services, the Service Provider guarantees that the contact details he/she/it has provided are accurate. The Service Provider also undertakes to notify jaimy immediately of any change in the contact details.

By using jaimy's Services, the Service Provider undertakes to respect the confidential nature of certain information (in particular the password, information relative to payment methods, etc.). The Service Provider is solely responsible for his/her/its confidential information and may not disclose it to any other person.

Without excluding other avenues of recourse in the event of a failing by the Service Provider, jaimy reserves the right to limit, suspend or terminate, temporarily or permanently, the services provided by jaimy and from the User Accounts; forbid access to the Site; delay the publication of hosted content or delete it; and to take technical and legal measures to prevent Users from accessing the Site. jaimy also reserves the right to cancel accounts that have not been confirmed or accounts that have been inactive for more than 24 months.

Article 4. jaimy's Services


jaimy's Services, offered on the Site, consist of making available a virtual platform for exchanging service requests (Assignment requests) and offers of service (Assignment offer and price made by the Service Provider), as well as to enable the posting of Assignment Notices and facilitating contacts between Service Requesters and the platform's Service Providers.

jaimy will in no way intervene in or exercise control over the quality of the Assignment Notices, the quality of Users and/or the way a Transaction is conducted. jaimy cannot in any way be considered as a party to a Transaction entered into between the Service Provider and Service Requester, nor may it be bound in any way by the undertakings made in the context of this agreement. All jaimy does is host Notices. jaimy does not exercise any control over the following elements:

1. the identity, quality, intellectual or technical skill, solvency or legal status of Users, nor the accuracy of the information provided by Users;

2. the nature and legality of the work carried out;

3. the negotiation, content or conclusion of an Assignment and its execution;

The Service Provider accepts that the Service Requester may post Assessments on the site with regard to the quality of the work carried out by the Service Provider. jaimy has no control over these Assessments and assumes no liability with regard to them.

However, jaimy reserves the right to carry out such checks at its own discretion and reserves the right to refuse the publication of Assessments should they be contrary to good morals, insulting, defamatory or slanderous.

Article 5. No Illegal Use


The Service Provider offers a guarantee that he/she/it will not use jaimy's Services to commit illegal or forbidden acts through the Service Provider Relationship and/or acts that are not permitted by law. Any abuse or fraudulent use of jaimy's services and/or site is forbidden.

Article 6. Transaction


Service Providers are bound directly to Service Requesters. Under no circumstances will jaimy take part in the contractual relationship that comes into being between Users following the conclusion of the Transaction established based on the terms agreed between them. jaimy merely facilitates the relationship by providing a medium for the Transaction to be put in place. Users are solely responsible for the fulfilment of their respective obligations arising from or relative to their Transaction.

Article 7. Lead Fee

7.1 In principle, the use of jaimy is free of charge for the Service Requester. No additional charge will be made in addition to the cost of the Assignment/Task.

7.2 The use of jaimy for the Service Provider is subject to the payment of a Lead Fee, as defined in article 1 above. The amount of the Lead Fee is calculated based on the type and number of services to be carried out in the context of each Assignment. This will vary based on the extent of each Assignment/ Task requested by the Service Requester. The amount of the Lead Fee to be paid by the Service Provider will be notified to the Service Provider before the Transaction is put in place. It is proposed to pay the Lead Fee directly either by bancontact or by credit card (visa,...). The Service Provider may also pay this Lead Fee on invoice. In this case, the invoice issued must be paid in cash at jaimy's registered office within ten days of the invoice date (the due date). Any objection over the invoice must be received in writing by jaimy within ten working days. After this period, the invoice is deemed to have been accepted by the Service Provider. Any invoice that is not paid in full by the due date will be increased, automatically and without prior notice, by the interest rate applicable to commercial transactions, each month started is considered to be overdue, and by a lump sum compensation of 10% of the amount of the unpaid invoice, with a minimum of EUR 100.

In the event of non-payment of a single invoice on the due date, all other invoices are immediately payable and Jaimy reserves the right to suspend its services automatically and without formal notice until all unpaid invoices, including default interest and lump sum compensation, have been paid. The Service Provider stays liable for payment of the last current contractual period, even if the latter has not yet been invoiced (in full), despite any suspension or withdrawal of its service offer.

Jaimy has the right to set off any claims or liabilities that the Service Provider may have against jaimy.

The payment of the Lead Fee allows the Service Provider to be offered, with a maximum of two other Service Providers, to the Service Requester for the accomplishment of the Assignment/Task.

The amount of this Lead Fee is exclusive of tax and pays for jaimy's services. The Provider is at liberty at all times not to pay the Lead Fee, but should this be the case, the Provider will not benefit from jaimy's services and may not be put forward by jaimy to the Service Requester for an Assignment/Task.

Article 8. Special obligations of the Service Provider


The Service Provider is required in particular:

> To carry out the Tasks independently and to respect the legal obligations associated with this status.

> Not to use the jaimy site and its related services if he/she/it is not legally capable of entering into contracts, if he/she is under the age of 18 or if his/her/its Account has been suspended temporarily or for an indefinite period.

> To respect the terms of the Transaction;

> To carry out the services in accordance with the Transaction;

> Not to circumvent or manipulate the structure of Lead Fee, the invoicing process or charges owed to jaimy;

> Not to publish content that is false, erroneous, misleading or defamatory;

> Not to undertake any action that may harm the Assessments and assessment systems;

> Not to transfer your jaimy Account (including assessments) and your alias to a third party without our consent;

> To take security measures to protect the password: Not to use jaimy with the alias or password of another person, or authorise another person (directly or indirectly) to use your alias or password;

> Not to distribute or publish unsolicited advertising (spam), chains of e-mails or pyramid systems;

> Not to spread viruses or other technologies likely to harm jaimy or Users of the site;

> Not to collect in any way information about Users, including e-mail addresses, without their consent;

> Not to meddle in the Transactions of other Users;

> To ensure that he/she/it respects his/her/its obligations with regard to the 1976 Fraudulent Work Act (for certain types of Tasks). jaimy reserves the right to exclude a Service Provider or User if he/she/it does not respect his/her/its obligations. This means that a Service Provider or User may be deleted if:

o jaimy is informed that a User is not complying with the social, fiscal or economic obligations relative to his/her/its status;

o The User has received at least three (3) negative assessments (strictly less than 3 stars).

The Service Provider undertakes that the service carried out for the Service Requester does not constitute a breach of the contractual, regulatory or legal provisions, including but not restricted to, the laws dealing with forgery, racism, proper morals, copyright, etc. and does not breach the rights of third parties (in any way).

The Service Provider will safeguard jaimy against all claims from third parties arising from non-compliance with their rights. In particular, the Service Provider will bear the cost of:

> all damage and interest owed to third parties making a claim;

> all expenses associated with the immediate replacement of jaimy equipment that may be the subject of seizure or any other measure rendering the equipment permanently or temporarily unusable for jaimy;

> all commercial and other damage incurred by jaimy as the result of a claim made by a third party.

If the Service Provider becomes aware of an instance of misuse, problem, breach of contractual rules or inappropriate content, he/she/it is required to report it to [email protected] Without prejudice to the above, jaimy may, at its sole discretion, delete any Notice or Assessment at any time.

Article 9. Obligations associated with independent workers (self employed)

The Provider is solely responsible for complying with all obligations of an administrative, commercial, fiscal, social, social security or other nature.

The Provider undertakes in this regard to indemnify jaimy for any sum that may be claimed from it in any way and by any third party, including the tax and social security authorities.

The Service Provider carries out his/her/its service entirely independently. There is no subordinate relationship. There is no exclusivity between the Service Requester and the Service Provider. This means that the Service Provider is at liberty to carry out other Assignments for other Service Requesters.

Article 10. Termination

The Service Provider may terminate his/her/its registration on the jaimy website at any time by unsubscribing on the Site or by contacting jaimy.

jaimy may, unconditionally and without notice, send a warning, suspend (temporarily or permanently) or terminate this Service Provider Relationship, and refuse to provide jaimy's Services to any Service Provider (a) who/which contravenes the provisions of this Service Provider Relationship, or (b) who/which jaimy believes, at its sole discretion, is acting in a way that may jeopardise the liability of this Service Provider, Users, third parties or jaimy.

Article 11. Liability


With regard to Service Providers, jaimy only assumes obligations of means in its capacity as the party hosting the website.

jaimy may not be held liable either for the content of Assignment Requests or Comments (Feedback) given, or for the acts or omissions of other Users (other Service Providers, Service Requesters, visitors), or for the services that they provide. The Service Provider acknowledges that jaimy is not a temporary employment agency or a placement agency that charges for its services, nor is it any other type of specific company relating to employment.

jaimy makes every effort to ensure that the website is accessible every day, 24 hours a day, under the best conditions for user comfort and convenience. jaimy makes every effort to ensure maximum quality of services. However, in view of the risks inherent to the technology used, jaimy is unable to accept any liability in the event of inaccuracies or omissions in the content disseminated, in the event of the poor function or total or partial inaccessibility of services for any reason, except in the instances and conditions listed exhaustively below.

However, a technical problem, such as a virus, computer bug, malicious intrusion or malfunction of the website and/or software or databases that it contains cannot be totally excluded. Under no circumstances may jaimy be held liable for damage incurred by Service Providers when they view all or part of the website or download all or part of its content, even in the case of serious misdemeanour on the part of jaimy.

Should it deem it necessary to ensure the quality of the services offered, jaimy will have the ability to interrupt access to the website to carry out maintenance. Users are aware of the need to provide regular maintenance of the website. As a result, under no circumstances may jaimy's liability be invoked for any damage that may result from an interruption to services due to maintenance of the website.

jaimy may not be held liable in the event of the non-selection or incorrect selection of a Service Provider relating to an Assignment Notice/Request made by a Service Requester.

jaimy carries out no checks whatsoever, nor does it select from the content and/or presentation of Assignment Notices/Requests placed by a Service Requester or the presentation of Assignment Offers made by a Service Provider. As a result, jaimy may not be held liable for any harm caused to the rights of a third party on account of the content or its presentation.

If the information and/or statements shown in an Assignment Notice/Request or featured in an Assignment Offer are contrary to the rights of a third party (including another Service Requester or Service Provider, etc.), the third party should submit any complaint directly to the Service Requester or Service Provider who/which is the author of the Notice and the Offer.

jaimy is not liable for the quality, legality and/or punctuality of the work provided by the Service Providers selected following a Notice/request posted on the website. jaimy cannot guarantee that the Service Requester or the Service Provider will complete the Transaction. They latter parties are solely responsible for the proper execution of the Transaction to which jaimy is a third party. As a consequence therefore jaimy can assume no liability regarding Transactions.

The jaimy website is solely an online place of exchange. The User is solely responsible for compliance with the laws and regulations in general and in particular for the social laws and regulations relating to employment and training. jaimy assumes no responsibility should the User be in breach of the laws and regulations mentioned above resulting from the use of jaimy's services and/or execution of the Transaction.

jaimy is unable to guarantee and does not guarantee the identity claimed by each Service Requester or Service Provider or any other User. jaimy does not check the Contact Details and assumes that the Contact Details supplied and updated are real and accurate.

In the event of a dispute with one or more other Users, the Users discharge jaimy from complaints, claims and damages (direct and indirect) of any kind, known and unknown, predictable and unpredictable, disclosed or not, arising in the context of or associated with such a dispute in any way whatsoever.
